Samudera Indonesia (SMDR) Injects Subsidiary of IDR 472.57 Billion

- PT Samudera Indonesia Tbk (SMDR) has carried out an affiliate transaction in the form of capital participation in two of its subsidiaries, valued at IDR 472.57 billion (about USD 33.2 million). 

The two subsidiaries are PT Samudera Pelabuhan Indonesia (SPLI) and PT Samudera Perkapalan Indonesia (SPKLI). 

In a disclosure on the Indonesia Stock Exchange (IDX), SMDR invested IDR 424.17 billion in SPLI, purchasing 424,170 new shares at IDR 1 million per share, resulting in SMDR's ownership in SPLI increasing to 99.97% from 99.96% before. 

Therefore, this transaction is considered an affiliate transaction as defined in Financial Services Authority Regulation No. 42/2020 because SPLI is a 99% owned subsidiary of the company. 

The Secretary of SMDR, Farida Helianti Sastrosatomo, explained that this capital participation transaction was carried out to strengthen SPLI's capital structure and as a strategic step to support the implementation of investments and the acquisition of assets that will be and/or already owned by SPLI. 

In addition, SMDR also invested IDR 48.4 billion in SPKLI, purchasing 48,400 new shares at IDR 1 million per share, resulting in SMDR's ownership in SPKLI increasing to 99.99% from 99.92% before. 

Similarly to the transaction with SPLI, this capital participation is also intended to support and support the business activities and subsidiaries of SPKLI, which will provide added value to the company and shareholders. The capital participation is also a strategic step to support the implementation of investments
